USE OF CONTENT.
ratiopharm authorizes you to view or download a single copy of the Content or an extraction from the MediResource Database on the Site solely for your personal, noncommercial use so long as you do not alter or modify any copyright or other proprietary right notices, which are contained in the Content or the MediResource Database. Any special rules or terms for the use of certain software and other items provided on the Site may be included elsewhere within the Site and are incorporated into these Terms and Conditions by reference.

You agree that you will not distribute the Content or the MediResource Database for any purpose including without limitation: (i) compiling an internal database, modifying, copying, selling, sublicensing, publishing; or (ii) redistributing or reproduction of the same by the press or media or through any telecommunication system. You shall not adapt, translate, arrange, modify, copy, sell, sublicense, publish or make available to any third party, either directly or indirectly, any part of the Content or MediResource Database. You shall not permit, allow or do anything that would infringe or otherwise prejudice the proprietary rights of ratiopharm or its suppliers or allow any third party to access the Content or MediResource Database unless expressly so permitted by ratiopharm.

OWNERSHIP AND COPYRIGHT.
You acknowledge that ratiopharm or its licensors are the owners of the Content including without limitation all copyright, trademark rights, patent rights and other intellectual property rights. You further acknowledge that MediResource.com is the owner or licensor of the MediResource Database and the information contained therein including without limitation all copyright, trademarks, patent rights and the intellectual property rights. Any use of the Content and MediResource Database not expressly permitted by these Terms and Conditions is a breach of these Terms and Conditions and may violate copyright, trademark, and other laws. Content and features on this Site are subject to change or termination without notice in the editorial discretion of ratiopharm. All rights not expressly granted herein are reserved to ratiopharm and its licensors. If you violate any of these Terms and Conditions, your permission to use the Content and MediResource Database automatically terminates and you must immediately destroy any copies you have made of any portion of the Content and MediResource Database.

LIABILITY OF RATIOPHARM AND ITS LICENSORS.
The use of the Site, the Content, and the MediResource Database is at your own risk. When using the MediResource Database, information will be transmitted over a medium that is beyond the control and jurisdiction of ratiopharm and its suppliers. Accordingly, ratiopharm assumes no liability for or relating to the delay, failure, interruption or corruption of any data or other information transmitted in connection with use of the Site.

In no event shall ratiopharm, its licensors, its suppliers or any third parties mentioned on the Site be liable for any special, incidental, indirect or consequential damages of any kind, including without limitation, those resulting from personal injury/wrongful death, lost profits, or damages resulting from lost data or business interruption whether based on contract, tort (including negligence) or any other legal theory, and whether or not ratiopharm is advised of the possibility of such damages.

Any claims arising in connection with your use of the Site, any Content or the MediResource Database must be brought within one (1) year of the date of the event giving rise to such action occurring. Remedies under these Terms and Conditions are exclusive and are limited to those expressly provided for in these Terms and Conditions.

NO WARRANTIES.
RATIOPHARM PROVIDES NO WARRANTY AS TO THE SITE, AND ALL CONTENT, PRODUCTS, SERVICES AND SOFTWARE ON THIS SITE OR MADE AVAILABLE THROUGH THIS SITE INCLUDING THE MEDIRESOURCE DATABASE ARE PROVIDED "AS IS" WITHOUT ANY WARRANTIES, GUARANTEES OR CONDITIONS, EXPRESSED OR IMPLIED, INCLUDING BUT NOT LIMITED TO, WARRANTIES OF MERCHANTABLE QUALITY, SATISFACTORY QUALITY, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AVAILABILITY, UNINTERRUPTED OR ERROR-FREE OPERATION, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, CURRENTNESS, RELIABILITY, TIMELINESS, LEGALITY, SUITABILITY, PRIVACY OR THOSE ARISING BY LAW, STATUTE, USAGE OF TRADE, OR COURSE OF DEALING. RATIOPHARM, ITS AGENTS, SUPPLIERS, AFFILIATES AND THEIR RESPECTIVE DIRECTORS OR EMPLOYEES ASSUME NO RESPONSIBILITY FOR ERRORS OR OMISSIONS.

RATIOPHARM PROVIDES NO WARRANTY AS TO THE SATISFACTION OF GOVERNMENT REGULATIONS REQUIRING DISCLOSURE OF INFORMATION ON PRESCRIPTION DRUG PRODUCTS WITH REGARD TO THE CONTENT OR THE MEDIRESOURCE DATABASE ON THE SITE.

THE OWNER ASSUMES NO OBLIGATION TO UPDATE THE CONTENT OR MEDIRESOURCE DATABASE. THE CONTENT OR THE MEDIRESOURCE DATABASE PROVIDED ON THIS SITE MAY BE CHANGED WITHOUT NOTICE. THE OWNER IS NOT RESPONSIBLE FOR ANY CONTENT OR INFORMATION THAT YOU MAY FIND UNDESIRABLE OR OBJECTIONABLE. INDEMNITY.
You agree at all times to indemnify, defend and hold harmless ratiopharm, its agents, suppliers, affiliates and their respective directors or employees against all actions, proceedings, costs, claims, demands, liabilities and expenses whatsoever (including legal and other fees and disbursements) sustained, incurred or paid by ratiopharm directly or indirectly in respect of your use of the Content or MediResource Database or the Site.

GOVERNING LAW.
The Site and the Content and MediResource Database (excluding linked sites) are physically located within the Province of Ontario, Canada. By accessing the Site, you and ratiopharm agree that all matters relating to your access to, or use of, the Site and this Agreement shall be governed by the statutes and laws of the Province of Ontario, and the Federal laws of Canada without regard to conflict of laws. You and ratiopharm also agree and hereby irrevocably submit to the exclusive personal jurisdiction and venue of the courts of the Province of Ontario with respect to any disputes. The parties have required that these Terms and Conditions and all documents relating thereto be drawn up in English. HEADINGS.
The headings used throughout by ratiopharm are intended solely for ease of reference and shall not be used in the interpretation or construction of these Terms and Conditions.

ENTIRE AGREEMENT.
These Terms and Conditions and any and all legal notices on this Site constitute the entire agreement between you and ratiopharm with respect to the use of this Site, the Content and the MediResource Database. No supplement, modification or amendment to these Terms and Conditions and no waiver of any provision of these Terms and Conditions shall be binding on ratiopharm unless executed by ratiopharm in writing. No waiver of any of the provisions of these Terms and Conditions shall be deemed or shall constitute a waiver of any other provision (whether or not similar) nor shall such waiver constitute a continuing waiver unless otherwise expressly provided.

SEVERABILITY.
Any provision of these Terms and Conditions which is prohibited or unenforceable in any jurisdiction shall, as to that jurisdiction, be ineffective to the extent of such prohibition or unenforceability and shall be severed from the balance of these Terms and Conditions, all without affecting the remaining provisions of these Terms and Conditions or affecting the validity or enforceability of such provisions in any other jurisdiction.
